1. Your Relationship With Us

Welcome to Sahua (the “Platform”), which is provided by HK GOLD SANDS GROUP LIMITED. (collectively referred to as “Sahua”, “we” or “us”).

You are reading the Terms of Service (the “Terms”), which govern the legal agreement between you and us and set forth the terms and conditions for your access and use of the Platform, our websites, applications, products and related services (collectively, the “Services”). Some Services or functions (such as posting User Content) may have age restrictions and are not available to all users. Our Services are for your personal, non-commercial use only. The term “you” refers to the user of the Services.

These Terms of Service form a legally binding contract between you and Sahua. Please read them carefully. The Services are intended only for adults aged 18 or older. You may not access or use the Services if you are under 18.

Arbitration notice for US users: This document contains an arbitration clause and class action waiver. Except for specific disputes stated in the arbitration clause, you and Sahua agree to resolve all disputes through binding mandatory arbitration, and both parties waive the right to participate in class litigation or class arbitration.

2. Accepting the Terms

By accessing or using the Services, you confirm that you are legally competent to enter this contract, fully accept and agree to abide by these Terms. Your use of the Services is also subject to our Privacy Policy and Community Guidelines, which can be viewed on the Platform or app store download pages and are incorporated into this document by reference. Your use of the Services constitutes your consent to these Terms.

If you access the Services on behalf of an enterprise or organization:

(a) “you” includes such enterprise or organization;

(b) you warrant that you are an authorized representative with full authority to bind the entity to this contract;

(c) the entity shall bear all legal and financial liabilities arising from your and your employees’ use of the account.

You accept these Terms by accessing the Platform. Your continued use of the Services will be deemed continuous acceptance of the Terms. We recommend you save or print a local copy for retention.

3. Changes to the Terms

We reserve the right to revise these Terms regularly due to function upgrades, service integration or regulatory adjustments. We will notify users of major revisions through Platform notices within reasonable time; you shall check the Terms regularly for updates. The “Last Updated” date on the top indicates the effective revision date. Your continuous use after the update date constitutes acceptance of the revised Terms. If you disagree with revised content, you must stop using all Services immediately.

4. Your Account with Us

When registering an account, you must submit accurate and real-time information and update it promptly if changed. You shall keep your account password confidential and shall not disclose it to any third party. If your password is leaked or your account is accessed without authorization, you can reset it via registered mobile SMS and notify us immediately via steven1082025@outlook.com.

You are solely responsible for all operations conducted under your account. We reserve the right to suspend or close your account at any time if you violate these Terms, local laws or your account activities may cause losses to Sahua or third parties.

If you want to permanently delete your account and stop using the Services, please contact us via steven1082025@outlook.com for guidance. After account deletion, you cannot restore the account or retrieve any historical content and data.

5. Your Access to and Use of Our Services

Your use of all Services shall comply with these Terms and all applicable local laws. You are prohibited from the following behaviors:

  • Accessing the Services without full legal capacity or guardian consent (for minors);

  • Unauthorized copying, modification, translation, reverse engineering, disassembly, decompilation of the Platform software, or attempting to derive its source code, algorithms and core logic;

  • Distributing, licensing, transferring or selling all or part of the Services without written authorization;

  • Renting, leasing the Services for fees, or using the Platform for commercial promotion and solicitation without our written consent, including spam and mass advertising;

  • Interfering, attacking the normal operation of the Platform, or bypassing our security restrictions;

  • Embedding the Platform into any third-party software or program without permission;

  • Using automated scripts, crawlers to grab data or interact with the Platform;

  • Impersonating any natural person or legal entity, or forging identity information;

  • Harassing others, publishing pornographic, violent, racial discriminatory, age, gender or religious discriminatory content;

  • Logging into others’ accounts without authorization or creating fake accounts;

  • Exchanging or purchasing fake reviews for commercial interests;

  • Uploading, transmitting, storing the following content:

Virus, trojan, malicious program files; unsolicited advertising, pyramid scheme information; others’ private identity, contact, bank information; copyright, trademark infringing content; defamatory, obscene, insulting, inflammatory content; content guiding crimes, self-harm; cyberbullying, threatening information; illegal unlicensed professional opinions and suggestions; content that may cause losses to Sahua or other users.

All your operations shall comply with our Community Guidelines. We reserve the right to delete or block any content without prior notice if it violates the Terms or Community Guidelines. Our automated system will analyze chat and published content to realize personalized recommendation, anti-spam and risk identification.

6. Intellectual Property Rights

We respect intellectual property rights, and you shall also abide by relevant regulations. Any act of infringing third-party copyright, trademark on the Platform may lead to account suspension or permanent closure.

7. Content

A. Sahua Content

All software, text, images, logos, trademarks, patents, audio, visual materials, interface design of the Platform (collectively “Sahua Content”) are owned or licensed by HK GOLD SANDS GROUP LIMITED. Without our written consent, you may not copy, download, reproduce, distribute, sell, license any Sahua Content for commercial or non-commercial purposes.

You acknowledge that Sahua can obtain revenue through virtual gifts and value-added services, and you have no right to share such revenue without separate written agreement. You are prohibited from monetizing User Content on third-party platforms such as YouTube.

We grant you a non-exclusive, non-transferable, non-sublicensable, revocable global limited license to access and use Sahua Content only for personal non-commercial use within the Platform. Sahua can terminate this license at any time without reason. No copyright license of audio works and recorded audio files is granted to you.

All third-party content on the Platform is for reference only, we do not guarantee its accuracy and completeness. We have no obligation to pre-screen all user content.

B. User-Generated Content

User Content refers to texts, photos, videos, audio, voice recordings and other materials you upload, publish or transmit on Sahua (collectively “User Content”). You can edit and overlay Sahua-provided stickers, virtual items and audio on your User Content. You shall guarantee all User Content you publish complies with laws and platform rules, and shall compensate Sahua for all losses caused by your breach of warranty.

All User Content is deemed non-confidential. You still own the copyright of your User Content, but by publishing it on Sahua, you grant us an unconditional, irrevocable, royalty-free, transferable, perpetual global license to use, edit, reproduce, distribute, publicly broadcast, create derivative works, authorize other users and third parties to access and reproduce your User Content in any form on any platform. You also authorize us to use your nickname, avatar, voice and portrait to identify the source of your content free of charge. This license covers audio reproduction and public performance without any royalty payment to record labels, music publishers, performance organizations and related personnel.

If you have signed recording or music publishing contracts, you shall bear all liabilities for publishing audio works on Sahua without obtaining relevant authorization. All third-party platforms that reprint your User Content do not need to bear additional liabilities to you. You waive the right to prior review of promotional materials using your User Content, and waive all portrait, privacy and moral rights to the content unless you set private visibility. We can edit, crop or delete your User Content at our discretion, and you shall back up your own content by yourself. We do not guarantee permanent storage of User Content. We can disclose your identity to relevant parties upon valid court orders for intellectual property or privacy dispute handling.

If you find infringing or inappropriate content published by other users, you can submit complaints via in-app feedback or email steven1082025@outlook.com with identity verification. Sahua will remove infringing content in a timely manner and permanently close repeatedly infringing accounts.

If you send product suggestions, function feedback, design drafts, codes and other materials to Sahua (“Feedback”), Feedback will be treated as non-confidential, and you grant us unlimited free rights to use and develop such Feedback without compensation or obligation to return your materials.

8. Indemnity

You agree to defend, compensate and hold harmless HK GOLD SANDS GROUP LIMITED, its parent, subsidiary, affiliate companies, directors, employees and agents from all claims, losses, litigation costs and attorney fees arising from your breach of these Terms or illegal use of the Services.

9. EXCLUSION OF WARRANTIES

This clause will not invalidate your statutory consumer rights that cannot be waived by contract. The Services are provided on an “as is” basis without any express or implied warranty. We do not guarantee that:

Your use of the Services will fully meet your demands;

The Services will run uninterrupted, timely, safe and error-free;

All information on the Platform is accurate;

All software defects will be repaired.

We can suspend, adjust or close partial or all Services for business operation reasons without prior notice.

10. LIMITATION OF LIABILITY

This clause does not exclude liability for personal injury, death and fraud caused by our negligence. Except for the above circumstances, we shall not be liable for your indirect losses including lost profits, business opportunities, goodwill and data loss. The maximum compensation we shall bear for your other losses is the total amount you paid to Sahua within the past 12 months.

We are not liable for losses caused by the following situations:

Platform function adjustment or temporary/permanent service shutdown;

Loss or damage of user data;

Your failure to submit accurate account information;

Your failure to keep your password secure.

You shall bear all mobile data and SMS fees incurred by using the Platform. All disputes between you and other third-party users shall be resolved independently by you, and you release Sahua from all related liabilities. If our defective digital products damage your equipment due to our negligence, we will repair or compensate you, but we are not liable for losses caused by you refusing official updates or improper installation.

11.Other Terms

Arbitration and Class Action Waiver (US Users)

Before initiating arbitration or litigation, both parties shall first attempt to resolve any dispute through good-faith negotiations. Any dispute, controversy, difference or claim arising out of or relating to these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. These Terms and this arbitration clause shall be governed by the laws of Hong Kong, without regard to conflict-of-laws principles, except that mandatory consumer protections applicable in your place of residence remain unaffected. The seat of arbitration shall be Hong Kong. The arbitration shall be conducted in English by one arbitrator. To the extent permitted by applicable law, each party shall bring claims only in its individual capacity and not as a plaintiff or class member in any class, collective or representative proceeding, and class arbitration is prohibited. If you are an individual US user and refuse arbitration, you can send an opt-out email within 30 days of first using the Platform to the above mailbox.

California Resident Supplementary Terms

California users under 18 can apply to delete their published User Content by sending an email titled “California Removal Request” to steven1082025@outlook.com with detailed content location information.

Export Restrictions

You shall not export or re-export our Services to countries/entities under US embargo, US specially designated national lists and sanction lists without official export approval.

App Store Supplementary Terms

Apple App Store

The contract between you and Sahua; Apple is not a party to these Terms. Apple does not provide maintenance and technical support for the Platform, and shall not bear product liability, intellectual property dispute liabilities arising from your use of Sahua. You can only install and use Sahua on your Apple equipment for personal non-commercial use under Apple’s usage rules. Apple and its subsidiaries are third-party beneficiaries of this contract with enforcement rights. Sahua supports Apple Family Sharing function. All virtual goods, subscriptions purchased on the Platform are non-refundable unless required by local laws. Google Play

If there is conflict between Google Play service rules and these Terms, Google Play rules shall prevail. Google bears no liability for the operation of Sahua. 1．Your Relationship With Us

Welcome to Sahua (the “Platform”), operated by HK GOLD SANDS GROUP LIMITED, Address: Unit 617A, Circular Trade Plaza, 1 Sha Tsui Road, Tsuen Wan, New Territories, Hong Kong. These Terms of Service is the binding agreement between you and us governing your use of all Platform Services for personal non-commercial purposes.

2．Accepting the Terms

Your access to the Platform means you fully accept all clauses of these Terms, and you shall also comply with jurisdiction supplementary terms if applicable. If you represent an organization, you have full authorization to bind the entity to this contract.

3．Changes to the Terms

We will notify users of major revisions via Platform notices, and your continuous use after updates means acceptance of new rules. Disagreeing users must stop using all Services immediately.

4．Your Account with Us

You must maintain accurate account information and keep passwords confidential. Any account loss caused by password leakage shall be borne by yourself. We can close accounts violating laws and rules. Account deletion cannot recover historical data.

5．Your use of our services

The Services are intended only for adults aged 18 or older. Reverse engineering, commercial use, automated data crawling, identity counterfeiting and uploading illegal content are prohibited, and all operations shall comply with the Community Guidelines. We have the right to delete non-compliant content without prior notice.

6．Intellectual Property Rights

It is forbidden to upload others’ copyrighted content without authorization, and repeated infringement will lead to account closure.

7．Content

All Sahua platform intellectual properties belong to HK GOLD SANDS GROUP LIMITED. You retain User Content copyright but grant us perpetual global free use rights for distribution, editing and derivative creation, including audio public performance rights without royalty payment. You shall bear all liabilities for unauthorized audio uploads. We can edit or delete your published content at our discretion, users shall back up their own data. Complaints of infringing content can be sent to steven1082025@outlook.com.

8．Indemnity

You shall compensate all losses of Sahua caused by your violation of this contract.

9. EXCLUSION OF WARRANTIES

The Platform is provided “as is” without performance warranty, we can adjust or close Services at any time.

10. LIMITATION OF LIABILITY

We are not liable for indirect economic losses such as lost profits. Our maximum compensation for your direct losses is the amount you spent on the Platform within 12 months. You shall bear mobile communication fees for using the Platform. All disputes between you and third-party users shall be resolved independently.

11．Other Terms

Applicable Law: These Terms are governed by the laws of Hong Kong, without regard to conflict-of-laws principles. This choice of law does not deprive consumers of mandatory protections under the law of their country of residence, and consumers may bring proceedings in the courts available to them under applicable consumer law. We allow links to our official website only if the linking website complies with our content rules. The Services are intended only for adults aged 18 or older. Sahua Platform is owned and operated by HK GOLD SANDS GROUP LIMITED. This contract regulates your personal non-commercial use of all platform services.

2．Accepting the Terms

Using the Platform constitutes full acceptance of these Terms, enterprise users need legal authorization to sign this agreement.

3．Changes to the Terms

Platform notice will be issued for rule revisions, and continuous use represents acceptance.

4．Your Account with Us

Register with real information, keep passwords confidential, we can close illegal accounts, deleted accounts cannot recover data.

5．Your Access to and Use of Our Services

The Services are intended only for adults aged 18 or older. Reverse engineering, unauthorised commercial promotion, automated data crawling, identity counterfeiting and uploading illegal, violent or discriminatory content are prohibited. We may remove non-compliant content in accordance with these Terms and the Community Guidelines.

6．Intellectual Property Rights

Infringing copyright content will be deleted, and related accounts will be suspended.

7．Content

All Sahua proprietary content is protected by intellectual property law. Your User Content copyright belongs to you, but you grant us perpetual royalty-free global license to edit, reproduce, distribute and authorize third-party use. We can modify or delete your published content, you need to back up data yourself. Report illegal content via steven1082025@outlook.com.

8．Indemnity

You shall fully compensate all losses of HK GOLD SANDS GROUP LIMITED caused by your breach of contract.

9．EXCLUSION OF WARRANTIES

No performance guarantee for the Platform, service suspension can be implemented without prior notice.

10．LIMITATION OF LIABILITY

No liability for indirect economic losses such as lost business opportunities, maximum compensation limit is your 12-month consumption amount on the Platform. You bear all mobile network fees. Third-party disputes are your sole responsibility.

11．Other Terms

Applicable Law and Dispute Resolution: These Terms are governed by the laws of Hong Kong, without regard to conflict-of-laws principles, except that mandatory consumer protections applicable in your place of residence remain unaffected. Any dispute, controversy, difference or claim arising out of or relating to these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.
